In this role, you will support Datadog’s Commercial Sales and Customer Success teams by reviewing, drafting, and negotiating customer-facing agreements, while developing your skills as an in-house commercial attorney. You will collaborate closely with cross-functional partners, including Sales, Customer Success, Deal Desk, Privacy, Customer Trust, and Product Legal, to help support deal execution within established legal frameworks and escalation paths. This role offers the opportunity to grow your commercial legal expertise through hands-on work, mentorship from experienced attorneys, and exposure to evolving SaaS legal issues such as privacy, security, and AI/ML.

What You’ll Do:
- Review, draft, and negotiate customer subscription agreements, order forms, NDAs, and standard ancillary documents, such as DPAs and BAAs, using established templates and playbooks.
- Support Sales and Customer Success teams on routine commercial matters by providing practical, timely legal support in support of efficient deal execution.
- Identify legal and business issues in customer agreements and work with more senior legal team members to align on appropriate solutions and negotiation strategy.
- Partner with subject matter experts in Privacy, Product Legal, and Customer Trust to incorporate guidance into customer negotiations.
- Support Counsel and Senior Counsel on commercial matters and special projects, contributing to broader team initiatives as needed.
- Assist with the ongoing improvement of legal templates, playbooks, and processes by supporting defined initiatives under the supervision of a project lead or manager to help scale commercial contracting in a thoughtful and consistent way.
- Build strong working relationships with internal stakeholders by being collaborative, responsive, and solution-oriented.
Who You Are:
- Possessing at least 2 years of relevant experience reviewing and negotiating commercial agreements (experience with SaaS contracts is preferred).
- Demonstrate a foundational understanding of commercial legal concepts and are comfortable spotting issues, applying playbook guidance, and escalating non-routine matters appropriately.
- Organized and able to manage multiple matters at once in a fast-paced environment.
- Communicate clearly and effectively with legal and business partners, and are receptive to feedback and guidance.
- Curious, motivated, and interested in continuing to develop judgment and confidence as an in-house commercial attorney.
- Approach work with integrity, sound judgment, and a collaborative mindset.
- Licensed to practice law and have earned a JD and bar admission in the U.S.
- Able to work out of our New York office.
